A company with no revenue moved $12 million into securities of the company that controls it, and finished the half with $577,328 in the bank.
That’s the whole story of AIxCrypto Holdings’ first six months in one line. Cash and cash equivalents went from $19.33 million at Dec. 31 to $577,328 at June 30. A 97% drop.
The company is pre-revenue. It’s building a robot-rental marketplace called RoboShare while holding digital assets on its balance sheet. As of Aug. 7, the nearest stated route to operating revenue was still preparing a pilot in Los Angeles.
Where the money actually went
Operations burned $7.94 million, against a $10.27 million net loss for the half. But operations weren’t the biggest single line.
The cash-flow statement separately records a $12 million financing outflow for Faraday Future securities. It also records $2.11 million of proceeds from digital-asset sales, money coming in from selling crypto while money went out the door for the stock purchase.
The Faraday investment came through an entrusted arrangement with Gold King Arthur Holding Limited. It breaks down as $500,000 of Class A common stock and $11.5 million of Series C preferred stock.
Here’s the part that matters. AIxCrypto identifies Faraday Future as its controlling majority stockholder. So this isn’t an unrelated portfolio position. It’s an allocation into the company that controls it, made by a company that hadn’t yet booked a dollar of revenue.
The crypto side didn’t help
Digital assets fell in fair value to $5.21 million from $10.25 million at year-end. The company booked a $2.93 million net loss on those assets over the six months.
Sales, purchases, digital-asset-settled activity and fair-value changes all moved that number, so it isn’t a clean read on trading performance alone. What’s clear is the direction.
Bitcoin accounted for $2.70 million of the June 30 portfolio, roughly 52%. Which means just under half of what’s left sits in assets exposed to crypto-market volatility beyond the largest and most liquid one.
No debt, but that’s not the same as no problem
AIxCrypto reported no outstanding debt for borrowed money. Fine. Current liabilities still stood at $1.72 million at June 30, almost three times the cash balance.
A company with $577,328 and $1.72 million coming due doesn’t have a leverage problem. It has a timing problem, which is worse when your revenue line is still a pilot.
That $50 million headline is a ceiling, not a bank balance
An announced common-stock purchase agreement could provide up to $50 million. Read the mechanics before you read the number.
The preliminary registration statement said draws couldn’t begin before effectiveness, and that they remained subject to notices, market conditions and other requirements. It’s a maximum commitment, not cash on hand.
The pricing tells you more. Purchases are set at 93% of a three-day low volume-weighted average price, with a separate 3% draw fee on top. The buyer gets a 7% discount off an already-low reference price, then the company pays another 3% to draw.
And issuance is capped at 4,044,975 shares until shareholder approval takes effect. Realized funding could land well short of $50 million, and what does land comes with substantial dilution.
What RoboShare has to prove
AIxCrypto introduced RoboShare and its website in June. The latest results release targeted initial marketplace activity in August and revenue in the third quarter, subject to operational readiness, execution, and applicable revenue-recognition requirements.
Those qualifiers are doing real work. Targeting revenue in a quarter and recognizing revenue in a quarter are different events, and the company has not yet shown the marketplace can generate recognized revenue fast enough to reduce the potential need for crypto sales or discounted equity.
Both of those funding routes cost something. Selling digital assets shrinks a portfolio that already lost $2.93 million in the half. Drawing on the equity facility issues shares at a discount.
What to watch instead of the next press release
Skip the product announcements. The evidence that changes this picture is completed rentals, repeat marketplace use, and revenue showing up in AIxCrypto’s financial statements.
Until one of those appears, the number worth remembering is $577,328 against $1.72 million in current liabilities, with $12 million already spent on the majority stockholder’s stock.
