Goldman Sachs just bought its way into crypto-income ETFs instead of building the products itself. The bank said Wednesday it has agreed to acquire NEOS Investments in a deal worth up to $2.25 billion, in cash and equity, contingent on performance and service milestones.

That price tag buys a corner of the market Goldman hadn’t reached organically. It also buys three specific funds: the Neos Bitcoin High Income ETF (BTCI), the Boosted Bitcoin High Income ETF (XBCI) and the Ethereum High Income ETF (NEHI), all of which move under Goldman Sachs Asset Management.

What those Bitcoin ETFs actually hold

Here’s the part worth reading the disclosures for. The Bitcoin ETFs in question don’t hold the cryptocurrency directly. Per NEOS’s own disclosures, they use derivatives to generate income from crypto-linked exposure rather than owning the underlying coins.

So the eye-catching yields come largely from selling options premium. They don’t necessarily reflect the price performance of Bitcoin itself. If you’re buying one of these expecting a proxy for spot Bitcoin, you’re buying the wrong instrument.

The distinction matters more as institutional appetite grows for digital-asset-adjacent, income-generating products alongside the broader derivative-income boom. Income and exposure aren’t the same trade, even when the ticker says Bitcoin.

The numbers behind the $80 billion figure

NEOS manages roughly $30 billion across 19 ETFs that use options strategies to generate monthly income. Goldman Sachs Asset Management already runs about $40 billion in income-oriented, options-based ETFs.

Put them together and Goldman’s active ETF business lands around $80 billion, making it the eighth-largest active ETF manager, according to Morningstar. That sits inside a broader $130 billion ETF platform.

Roughly $1 billion of the NEOS book sits in its Bitcoin High Income ETFs. Against $2.25 billion in total deal value, the crypto piece is real but it isn’t the whole thesis.

This is the third leg of a strategy, not a one-off

The move follows Goldman’s earlier acquisition of Innovator Capital Management. That makes this a three-way combination focused on derivative-income and buffer/outcome strategies, not an opportunistic grab at a crypto ticker.

CEO David Solomon called NEOS’s approach “highly complementary” to Goldman’s existing buffer, managed-outcome and income capabilities. Read that as a structured-products play with Bitcoin attached, rather than the reverse.

NEOS co-founders Garrett Paolella and Troy Cates will join Goldman Sachs Asset Management as partners. Paolella and Cates framed the deal as pairing NEOS’s “entrepreneurial spirit” with Goldman’s scale, which is the standard line in every acquisition of a smaller shop by a larger one, and is usually true for about 18 months.

Nothing changes until 2027

The transaction is expected to close in the first quarter of 2027, pending regulatory approval. That’s a long runway, and it means anyone holding BTCI, XBCI or NEHI is dealing with NEOS as it exists today for a while yet.

If you own these funds, the thing to watch between now and then isn’t the Goldman branding. It’s whether the options-premium yields hold up through whatever Bitcoin does in the meantime, because that’s the machinery you actually bought.
